The BOC established the Committee for Good Corporate Governance (GCG), Nomination and Remuneration (NR) or abbreviated GCR-NR Committee, which is a merger between 2 (two) Committees: Corporate Governance Committee and the Nomination and Remuneration Committee, with the approval of the Board of Commissioners NRPSDM No.8/DK/SK/IV/2014 dated April 7, 2014. The committee in charge of and responsible for assisting the BOC by providing professional and independent opinion for the BOC for the purpose of ensuring the implementation of the principles of good corporate governance and ethical standards of the Company, ensuring social and environment aspects of the Company is manageable, as well as the implementation process of nomination and remuneration of the Company’s Human Capital management effectively and correctly

TIn order that GCG-NR Committee can carry out their duties and responsibilities in an efficient, effective, transparent, competent, and independent manners in accordance with the legislation in force, it was composed Committee Charter GCG-NR year 2014. It included membership structure, membership requirements, including requirements of personal competence and independence, duties, responsibilities and authority, as well as committee meetings.

The details of the GCG-NR Committee’s roles and responsibilities were to review on the Company’s compliance with its articles of associations as well as other prevailing regulations, to ensure consistent GCG principles and ethics implementation at the Company, performing evaluation and follow-up actions on the evaluation report issued by the independent assessor, participating in the monitoring of GCG implementation throughout the Company, evaluating and reviewing the qualification of supporting committee members, and handling any violation report (whistleblowing), to review the planning and implementation of social and environmental management, post-mining, monitored the Company’s compliance with the prevailing laws and regulation in the mining sector, and social and environmental issues, to evaluate the policies and their impacts for human capital management, GCG-NR Committee performs evaluations on the establishment of nominees of and remunerations to the BOD and the BOC systems.


General TNI (Ret.) Fachrul Razi, S.Ip, S.H., M.H.

Appointed as President Commissioner on October 7, 2015.

He graduated from the Military Academy in 1970. Previously held key positions in the Indonesian Armed Forces such as Governor of the Military Academy (1996-1997), Assistant of Operations to the General Chief of Staff of the Indonesian Armed Forces (1997-1998), Chief of Staff of the Indonesian Armed Forces (1998-1999), Secretary General of the Ministry of Defense (1999) and Vice Commander of the Indonesian Armed Forces (1999-2000).

He was 69 years old as of December 31, 2016.

Independent Commissioner

Prof. Hikmahanto Juwana, S.H., LL.M., Ph.D
Independent Commissioner

Was reappointed as Independent Commissioner on March 26, 2014. Earned a Doctor of Philosophy degree (Ph.D.) in International Law from the University of Nottingham, England in 1997. He is a Professor in International Law at the University of Indonesia since June 2001. He is currently as a member of legal empowerment taskforce of the Ministry of State-owned Enterprises, and Independent Commissioner in PT Unilever Tbk since May 2011. He previously held several key positions such as Assistant Lawyer at O.C. Kaligis & Associates (1986-1987), Law Consultant at Lubis Ganie Surowidjojo Law Firm (19941997), Expert Staff on Laws and Institutions of the Coordinating Minister of Economic Affairs (Echelon I/b) (1999-2001), Dean of the Faculty of Law of the University of Indonesia (20042008), Independent Commissioner of PT Tugu Reasuransi Indonesia (2008-2012) and member of the Tax Supervisory Committee of the Finance Ministry of Indonesia (March 2010-2013).

He was 51 years old as at December 31, 2016.


Dr. Ir. Yunus Kusumabrata, M.Sc

(May 1, 2014-April 30, 2017)

Place/Date of Birth: Cianjur, West Java, December 14, 1956. Joined as member of ANTAM’s NRHRD Committee since August 1, 2012. In which since April 1, 2014 has become into Committee GCG-NR. Graduated with a geology degree from Universitas Padjajaran, Bandung, 1981 and received a master of science in sedimentology in 1992 and Ph.D in sedimentology application for exploration 1995 from Wollongong University, New South Wales, Australia. Working experience includes various positions in the geology agency, ministry of energy and mineral Resource, since March,1982 until April, 2014. Since the end of April, 2014, he has been appointed as Expert Staff of the Minister of Energy and Mineral Resources for Spatial Planning and the Environment.


Dr. H.A.A. Anwar Prabu Mangkunegara

(December 1, 2015-November 30, 2018)

Place/date of birth: Palembang, November 12, 1956. Joined as a member of ANTAM GCG Committee-NR since December 1, 2015 based on the Decree of the BOC No. 14/DK/SK/XII/2015 dated December 1, 2015. Bachelor of Psychology of Institute of Teachership and Education Science (IKIP), Bandung 1985, Master of Science of Industrial Psychology Padjadjaran University (UNPAD) in 1994 and PhD in Social Sciences with study on Organizational Sociology of Postgraduate of Padjadjaran University (UNPAD) in 2001. experienced in working, among others, as Head of General Affairs of Puskud West Java (1985-1986), Head of theLaboratory of Human Resource Management of Ikopin (1994 -2001). Currently as the Dean of the Faculty of Psychology of Mercu Buana University.
